End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and Overmind Dominion LLC ("Company," "we," "us," or "our") governing your use of the Verbo Speak mobile application and related services (collectively, the "Application").

If you downloaded the Application from the App Store operated by Apple Inc. ("Apple"), you acknowledge that:

• This Agreement is between you and Overmind Dominion LLC, not Apple.
• Apple is not responsible for the Application or its content.
• Apple has no obligation to provide maintenance or support services.

By downloading, installing, or using the Application, you agree to be bound by this EULA.

Overmind Dominion LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Application for personal, non-commercial, educational, or accessibility purposes only.

You may:

• Download and install the Application on devices you own or control
• Use the Application for authorized educational purposes
• Use the Application for personal communication and accessibility

You may NOT sublicense, distribute, or transfer the Application without permission.

You may not:

• Modify, adapt, translate, or create derivative works from the Application
• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Remove or alter proprietary notices, logos, or brands
• Rent, lease, lend, or sell the Application
• Use the Application to develop competing products
• Use the Application for any unlawful or harmful purpose
• Circumvent security mechanisms or access controls

The Application and all its components (software code, algorithms, AI models, symbol libraries, documentation, graphics, branding) are exclusively owned by Overmind Dominion LLC.

This EULA grants you a license to use, not to own. No intellectual property rights are transferred to you.

Third-party components are owned by their respective providers. To report copyright concerns, contact legal@overminddominion.com.

Premium features require a subscription purchased through your device's app store.

• Subscriptions auto-renew unless you cancel in your app store account settings
• Pricing is displayed before purchase and governed by app store terms
• Refunds are issued solely by the app store according to their policies
• Overmind Dominion LLC is not responsible for billing disputes; contact your app store for assistance

Free trial terms are displayed during signup and are subject to change.

Overmind Dominion LLC may update or modify the Application at any time, including security patches, feature additions, or removal of features.

You acknowledge that:

• Updates may be mandatory for continued access
• Updates may change functionality or user experience
• We are not liable for data loss due to updates
• We may discontinue the Application with reasonable notice

Continued use after updates constitutes acceptance of new terms.

The Application may integrate third-party services such as:

• Google Firebase for cloud storage and authentication
• OpenAI for AI-powered features
• RevenueCat for subscription management
• Apple Inc. services on iOS

Overmind Dominion LLC is not responsible for third-party services, their privacy practices, or interruptions in their service.

The Application includes AI features. You acknowledge:

• AI outputs are provided "as-is" without guarantee of accuracy
• AI may contain errors, biases, or produce harmful content
• AI is NOT a substitute for medical, legal, or professional advice
• You are solely responsible for how you use AI outputs
• You should review AI-generated content before using it in critical communications
• Overmind Dominion LLC is not liable for reliance on AI-generated content

Verbo Speak is designed to support communication accessibility and educational applications.

Important limitations:

• The Application is NOT a medical device
• No therapeutic or medical outcomes are guaranteed
• The Application should NOT be used as the sole communication method in safety-critical situations
• Educational institutions should maintain FERPA compliance when using student data

Your use of the Application is governed by our Privacy Policy. You acknowledge that:

• Personal data may be collected, stored, and processed according to the Privacy Policy
• Communication content may be transmitted to cloud services
• AI features may process your content with third parties
• You may be subject to COPPA, FERPA, or other legal constraints
• You have data rights as outlined in the Privacy Policy

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY
• SAFETY
• UNINTERRUPTED OPERATION
• NON-INFRINGEMENT

USE IS ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Overmind Dominion LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: USD $50 OR THE AMOUNT PAID BY YOU IN THE PRECEDING 12 MONTHS

THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, EVEN IF OVERMIND DOMINION LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Overmind Dominion LLC, its officers, employees, and agents from any claims, damages, costs, or liabilities arising from:

• Your use or misuse of the Application
• Your breach of this EULA
• Your infringement of intellectual property rights
• Content you create or upload
• Your violation of applicable law

The Application may be subject to export control laws. You agree not to export or re-export the Application to prohibited countries or entities.

Unauthorized export may result in severe criminal and civil penalties under U.S. law.

This EULA is effective until terminated.

Termination causes:

• By you: uninstall the Application and stop using it
• By Overmind Dominion LLC: immediately if you breach this EULA or pose a security risk

Upon termination, all rights and licenses are revoked. You must delete or destroy copies of the Application.

Any dispute shall first be resolved through good-faith negotiation.

If unresolved after 30 days, disputes shall proceed to binding arbitration under JAMS rules.

Arbitration terms:

• Arbitration is conducted individually (no class actions or multi-party arbitration)
• All arbitration demands and hearings are confidential
• Each party bears its own costs unless applicable law requires otherwise

Overmind Dominion LLC is not liable for failures or delays caused by:

• Natural disasters, pandemics, or epidemics
• War, terrorism, or civil unrest
• Government actions or regulatory changes
• Utility failures or infrastructure damage
• Events beyond our reasonable control

This EULA is governed by the laws of Arizona, without regard to conflict of laws principles.

If Arizona law is preempted, the laws of your jurisdiction shall apply.

The United Nations Convention on Contracts for the International Sale of Goods shall NOT apply.

If any provision of this EULA is found invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full effect.

This EULA, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between you and Overmind Dominion LLC.

This EULA supersedes all prior negotiations, oral agreements, and written agreements.

If there are conflicts between documents, the order of precedence is: EULA, Terms of Service, Privacy Policy.
